PIPA Website Terms of Use
These Website Terms of Use (the "Terms") govern your access to and use of pipacorp.com and its public subdomains and pages (the "Website") operated by PIPA LLC ("PIPA," "we," "us," or "our"). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
Relationship to other agreements. These Terms govern your use of the public Website only. Your access to and use of PIPA's platform products (including FIOS, LEAP, and related services) is governed by the applicable platform end user license agreement or separately signed agreement, which will be presented to you when you register for or access those products. PIPA's collection and use of personal information is described in the Privacy Policy, which is incorporated into these Terms by reference.
1. Permitted Use
PIPA grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Website for your personal or internal business purposes, including to learn about PIPA and its products, to request a demo or contact us, and to read publicly posted content such as blog posts, case studies, and publications. All rights not expressly granted are reserved by PIPA.
2. Eligibility
The Website is not directed to and may not be used by anyone under the age of 18. By using the Website, you represent that you are at least 18 years old.
3. Prohibited Activities
You shall not, and shall not permit any other person to:
- copy, reproduce, republish, frame, distribute, display, or create derivative works from any content on the Website, except as expressly permitted or for personal non-commercial reference;
- use automated tools — including scrapers, bots, spiders, crawlers, harvesters, or data aggregators — to access, copy, monitor, or extract content or data from the Website, except for compliance with a valid robots.txt file;
- use the Website, or any content on it, to train, develop, or improve any machine learning or artificial intelligence model, product, or service, without PIPA's prior written consent;
- reverse engineer, decompile, or attempt to discover the source code or underlying technology of the Website;
- access the Website through any interface other than those provided by PIPA, or attempt to circumvent any access or usage restriction;
- interfere with or disrupt the integrity, security, or performance of the Website, including by introducing viruses, malware, or other harmful code;
- use the Website in any way that is unlawful, infringing, defamatory, harassing, obscene, or otherwise objectionable;
- remove, obscure, or alter any copyright, trademark, or other proprietary notice displayed on the Website; or
- use the Website to impersonate any person or entity, or to misrepresent your affiliation with any person or entity.
4. Intellectual Property
The Website and all content on it — including text, images, graphics, photographs, videos, logos, trademarks, trade dress, software, interfaces, designs, blog posts, articles, case studies, publications, and other materials ("Website Content") — are owned by PIPA or its licensors and are protected by United States and international intellectual property laws. "PIPA," "FIOS," "LEAP," and related names, logos, and designs are trademarks or service marks of PIPA. You may not use PIPA's trademarks or trade dress without PIPA's prior written consent, except for fair-use references that comply with applicable law. Use of PIPA's trademarks must not disparage PIPA, its products, or its services, and must not imply sponsorship or endorsement where none exists.
5. Submissions and Communications
The Website may allow you to submit information through contact forms, demo requests, newsletter sign-ups, job applications, or similar features ("Submissions"). By making a Submission, you represent that the information is accurate and that you have the right to provide it. PIPA may use Submissions to respond to you, to send marketing communications where permitted, and for other purposes described in the Privacy Policy. If you provide suggestions, ideas, comments, or feedback about PIPA, the Website, or PIPA products, you grant PIPA a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable license to use and exploit that feedback for any purpose, without obligation or attribution. Feedback is provided on a non-confidential basis.
6. Third-Party Links and Content
The Website may contain links to third-party websites, products, or services, or may display third-party content (including content from customers, partners, publications, or social media). PIPA does not control, endorse, or assume responsibility for any third-party websites or content, and your interactions with third parties are solely between you and them. References to third parties (including PIPA customers, partners, or cited publications) do not imply endorsement by those third parties of PIPA.
7. No Professional Advice
Information provided on the Website — including blog posts, case studies, publications, scientific content, and product descriptions — is for general informational purposes only and is not scientific, regulatory, medical, nutritional, dietary, clinical, legal, or financial advice. You should not rely on Website Content as the sole basis for any decision. Consult appropriate qualified professionals before making decisions based on Website Content.
8. Disclaimer
THE WEBSITE AND WEBSITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIPA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND QUIET ENJOYMENT. PIPA DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT WEBSITE CONTENT IS ACCURATE, COMPLETE, OR CURRENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PIPA OR ITS LICENSORS, SUPPLIERS, AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE OR WEBSITE CONTENT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF PIPA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PIPA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS AND YOUR USE OF THE WEBSITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
10. Indemnification
You shall defend, indemnify, and hold harmless PIPA and its affiliates, licensors, suppliers, and their respective directors, officers, employees, and agents from and against any third-party claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Website or Website Content; (b) your Submissions; (c) your breach of these Terms; or (d) your violation of any applicable law or third-party right.
11. Modifications; Termination
PIPA may modify these Terms, the Website, or Website Content at any time. If PIPA makes a material change to these Terms, PIPA will indicate the change by updating the "Effective Date" above. Your continued use of the Website after the Effective Date constitutes acceptance of the modified Terms. PIPA may suspend, restrict, or terminate your access to the Website at any time, with or without notice, for any reason.
12. Governing Law; Dispute Resolution
Governing law. These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.
Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Website shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or Consumer Arbitration Rules for individual consumers). The seat of arbitration shall be Yolo County, California, and the proceedings shall be conducted in English. Judgment on the award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, PIPA may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to enforce Section 3 (Prohibited Activities).
Class action and jury trial waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION AGAINST PIPA, AND ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE NOT RESOLVED BY ARBITRATION.
Limitations period. Any claim against PIPA must be brought within one (1) year after the cause of action arises, or it is permanently barred, except where a longer period is required by non-waivable law.
13. General
Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and PIPA regarding the Website and supersede all prior agreements and communications regarding the Website.
Assignment. You shall not assign these Terms without PIPA's prior written consent. PIPA may assign these Terms freely.
Severability. If any provision is unenforceable, it shall be modified to the minimum extent necessary, and the remainder shall continue in effect.
No waiver. Failure to enforce any right is not a waiver of that right.
Export and sanctions. You represent that you are not located in, or a resident or national of, any jurisdiction subject to a U.S. government embargo, and are not listed on any U.S. government restricted-party list.
Electronic communications. You consent to receive communications from PIPA electronically, including legal notices, where permitted by law.
